Terms of Service

These Terms of Service ("Terms") form a binding agreement between you ("you", "customer") and Apptesterhub LLC, a Wyoming limited liability company (Wyoming Filing ID: 2025-001787922) with its principal office at 75 E 3rd St Ste 7, Sheridan, WY 82801, United States ("Qply", "we", "us", "our"). Apptesterhub LLC is the merchant of record for all Qply subscriptions and is the contracting party under these Terms. By accessing or using Qply (the "Service") — including qply.io, app.qply.io, the embeddable chat widget, and any related APIs — you agree to be bound by these Terms. If you do not agree, do not use the Service.
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity.
1. Use of the Service
You may use Qply to embed a chat widget on websites you own or operate, manage visitor conversations through our dashboard, and train AI responses with your own knowledge base content. You agree not to:
- Use the Service for any unlawful purpose or in violation of any regulation.
- Abuse, harass, impersonate, deceive, or send unsolicited marketing messages through the chat widget.
- Transmit malware, phishing content, or attempt to compromise our systems or our other customers.
- Reverse-engineer, scrape, rate-limit-evade, or attempt to extract the underlying AI models or our source code.
- Resell, white-label, or sublicense access to the Service without a written agreement signed by us.
- Process "special categories" of personal data (health, biometric, genetic, political opinions, religious beliefs, sexual orientation, etc. as defined by GDPR Article 9) through the widget without a separate agreement.
- Use the Service to create a competing product or to benchmark against competing products for publication.
2. Accounts
You must be at least 18 years old to create a paid account. You are responsible for maintaining the security of your credentials and for all activity that occurs under your account. Notify us immediately at [email protected] or [email protected] if you suspect unauthorized access. We strongly recommend enabling two-factor authentication in your account settings.
3. Subscription Plans, Billing, and Auto-Renewal
Plans and billing cycles. Qply offers monthly and annual subscription plans (Starter, Growth, Pro). Pricing in effect when you subscribe is displayed at qply.io/#pricing. All fees are stated in US Dollars (USD) and are exclusive of any applicable taxes, VAT, GST, or sales tax, which are the customer's responsibility.
Payment method. Payments are processed by Stripe, Inc. By providing payment details, you authorize us (through Stripe) to charge your payment method for the plan you selected, including any applicable taxes.
Auto-renewal. Subscriptions automatically renew at the end of each billing period (monthly or annual) at the then-current price, unless you cancel before the renewal date. You will be charged automatically on the renewal date. You can view your next billing date and cancel auto-renewal at any time from the billing section of your dashboard at app.qply.io.
Free trial. New accounts may be offered a 14-day free trial of a paid plan. If you do not cancel before the trial ends, your subscription will begin and your payment method will be charged automatically. No charge is made during the trial period.
Price changes. We may change pricing with at least 30 days' advance notice to your account email. Price changes will not affect your current billing period and will apply from the next renewal.
Non-payment. Failure to pay may result in suspension of the Service after 7 days and account closure after 30 days. Outstanding fees remain payable.
Refunds. Except as provided in Section 4 below (EU/UK consumer withdrawal right), all fees are non-refundable, including partial months, unused credits, and prepaid annual amounts, except where required by applicable law or at our sole discretion.
4. Right of Withdrawal (EU / UK Consumers)
If you are a consumer resident in the European Economic Area, United Kingdom, or Switzerland, you have the right to withdraw from your subscription within 14 days of the day you subscribed, without giving any reason. This right does not apply if you are entering into these Terms on behalf of a business, which is the typical case for a B2B SaaS product such as Qply.
How to exercise. To exercise your right of withdrawal, send a clear statement of your decision to [email protected] before the 14-day period expires. You may use, but are not required to use, the model withdrawal form provided in Annex I of Directive 2011/83/EU.
Refund. If you validly withdraw within 14 days, we will refund all payments received from you within 14 days of receiving your withdrawal notice, using the same payment method you originally used.
Loss of withdrawal right. By starting to use the Service during the 14-day period (logging in, embedding the widget, processing conversations, or ingesting knowledge base content), you expressly request immediate performance and acknowledge that your right of withdrawal will be lost once the Service has been fully performed with respect to any usage already consumed. You retain the right to withdraw from the unused portion of the subscription.
5. Free and Starter Plan Limits
The Starter plan includes a fixed monthly quota of conversations and knowledge base tokens as displayed on the pricing page. Exceeding the quota may result in the widget pausing until the next billing cycle or an automatic upgrade prompt. You can upgrade to a paid plan at any time to increase limits.
6. Intellectual Property
Our IP. Qply, the Qply name, logo, software, widget code, dashboard, documentation, and all related materials are the exclusive property of Apptesterhub LLC and are protected by copyright, trademark, trade secret, and other intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable, revocable license to use the Service during your subscription.
Your content. You retain all rights to the content you submit to the Service, including chat transcripts, knowledge base documents, agent configurations, and branding assets ("Customer Content"). You grant us a worldwide, non-exclusive, royalty-free license to host, store, transmit, display, and process Customer Content solely as necessary to provide the Service to you.
Feedback. Any suggestions, ideas, or feedback you provide about the Service may be used by us without obligation or attribution.
7. AI Output and Accuracy Disclaimer
The Service uses large language models to generate chat responses. AI output may occasionally be inaccurate, incomplete, outdated, or inappropriate despite our best efforts. You are responsible for reviewing your widget's responses and for any reliance on AI-generated content. Qply does not warrant that the Service or its AI responses are error-free, and we are not liable for decisions made based on AI output. You should not use Qply for medical, legal, financial, or safety-critical advice without a human review step.
8. Third-Party Services and Sub-Processors
Qply integrates with third-party services including a database and authentication provider, a payment processor, web analytics and advertising providers, an authentication and infrastructure provider, and one or more large language model providers. A full list of current sub-processors and their roles is available in our Privacy Policy. Your use of those services is governed by their respective terms. We are not responsible for the acts or omissions of third-party service providers.
9. Data Protection and Privacy
Our collection, use, and protection of personal data is described in our Privacy Policy, which is incorporated into these Terms by reference. If you are a customer subject to GDPR, UK GDPR, or similar laws and process personal data of European residents through the widget, a Data Processing Addendum (DPA) is available at qply.io/pages/dpa.html and will apply to your use of the Service.
10. Uptime and Support
We target 99.5% monthly uptime for paid plans. Scheduled maintenance, force majeure events, and issues with third-party infrastructure are excluded from uptime calculations. Enterprise plans may include a separate Service Level Agreement. Support is provided via email at [email protected]. We do not guarantee specific response times except where explicitly stated in your plan.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, APPTESTERHUB LLC, ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES (INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION) ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) USD $100.
Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including liability for death, personal injury caused by negligence, fraud, or willful misconduct.
13. Indemnification
You agree to defend, indemnify, and hold harmless Apptesterhub LLC from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your Customer Content, or your violation of these Terms or applicable law.
14. Termination
You may cancel your subscription at any time from the billing section of your dashboard; cancellation takes effect at the end of the current billing period. We may suspend or terminate your account immediately if you materially breach these Terms, fail to pay, or use the Service in a way that harms us or other users. Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days after termination to allow recovery, then delete it per our Privacy Policy retention schedule.
15. Changes to These Terms
We may update these Terms from time to time. Material changes will be notified by email to your account address or by prominent notice in the dashboard at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Service before the effective date.
16. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Wyoming, and you consent to personal jurisdiction in those courts. Notwithstanding the foregoing, nothing prevents either party from seeking injunctive relief in any court of competent jurisdiction to protect intellectual property or confidential information.
If you are a consumer resident in the EEA, UK, or Switzerland, this Section 16 does not affect your statutory rights to bring proceedings in the courts of your country of residence under applicable consumer protection law.
17. Miscellaneous
Entire agreement. These Terms, together with the Privacy Policy and any DPA signed between us, constitute the entire agreement between you and Apptesterhub LLC regarding the Service.
Assignment. You may not assign these Terms without our prior written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
Severability. If any provision is found invalid or unenforceable, the remaining provisions will remain in full force and effect.
No waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.
Force majeure. Neither party is liable for failures caused by events beyond reasonable control, including natural disasters, war, terrorism, riots, labor disputes, power outages, or failures of the internet or third-party infrastructure.
